Membership Terms

1. Purpose and Scope

These Membership Terms ("Membership Terms") govern applications for, admission to, maintenance of, and participation in membership of Logout Neuchâtel Association ("Logout Neuchâtel" , "the Association" , "we" , "us" , or "our").

They apply to all Membership categories offered by the Association.

These Membership Terms form part of the contractual framework applicable to Members and should be read together with:

• the Terms of Service;
• the Privacy Policy;
• the Cookie Policy;
• applicable programme or event terms; and
• the Association's statutes.

Where the Association's statutes contain provisions concerning membership rights, obligations, admission, exclusion, voting rights, or governance that differ from these Membership Terms, the statutes and mandatory applicable law prevail.

2. Nature of Membership

Membership of Logout Neuchâtel is intended to enable individuals, families, and organizations to support and participate in the Association's activities relating to:

• mental and cognitive well-being;
• prevention of technology-related psychological risks;
• digital well-being;
• education;
• research;
• community activities;
• public awareness; and
• responsible engagement with emerging technologies.

Membership does not constitute:

• a medical service;
• a psychiatric service;
• psychotherapy;
• a guarantee of access to a healthcare professional;
• an insurance product; or
• a guarantee of reimbursement by a health insurer.

Membership benefits are subject to the applicable Membership category and the availability of the relevant Service or activity.

3. Membership Categories

Logout Neuchâtel offers the following Membership categories:

4. Membership Fees

Membership fees are determined according to the applicable Membership category.

Unless otherwise specified: Membership Annual Fee Hobby CHF 0 Individual CHF 25 Family CHF 50 Organizational Partner CHF 250 Fees may be changed for future Membership periods in accordance with these Membership Terms and applicable law.

A change in the fee does not retroactively modify a Membership period that has already been paid for, unless otherwise agreed.

5. Membership Period

Membership is generally provided for a period of one year, unless the Association specifies another period at the time of registration.

The applicable Membership period begins on the date specified in the Membership confirmation.

The Membership confirmation may specify:

• the Membership category;
• start date;
• expiry date;
• applicable fee;
• renewal arrangements; and
• applicable benefits.

6. Application for Membership

Membership may be requested through the registration process designated by Logout Neuchâtel.

Applicants must provide information reasonably necessary to administer the Membership.

Depending on the Membership category, this may include:

• name;
• contact information;
• date of birth or age, where required;
• household information;
• organizational information;
• billing information; and
• other information necessary to establish eligibility.

Providing inaccurate or misleading information may result in rejection, suspension, or termination of Membership.

7. Admission to Membership

Submission of an application does not automatically create Membership.

Membership becomes effective when the Association has: 1. received the required application information; 2. determined that the applicant satisfies the applicable eligibility requirements; and 3. confirmed the Membership.

Where applicable, payment of the Membership fee may also be required before Membership becomes active.

The Association may refuse an application where permitted by its statutes and applicable law.

8. Membership Rights

Subject to the Membership category and the Association's statutes, Members may have rights including:

• participation in Association activities;
• access to Member benefits;
• access to Member pricing;
• participation in the General Assembly;
• voting rights;
• access to Association information; and
• other rights provided by the statutes.

Membership rights may not be transferred to another person unless expressly permitted.

9. Voting Rights

Voting rights are governed primarily by the statutes of Logout Neuchâtel and applicable Swiss law.

Where a Membership category provides voting rights, the Member may exercise those rights subject to:

• applicable statutory requirements;
• General Assembly rules;
• eligibility requirements;
• membership status; and
• any applicable deadlines.

Organizational Members exercise any voting rights through an authorized representative where permitted by the statutes.

Membership benefits do not create voting rights where the statutes do not provide for them.

10. Membership Benefits

Membership benefits are personal to the Member or, in the case of Family Membership, to the eligible household members registered under the Membership.

Benefits may include:

• discounts;
• priority registration;
• Member-only resources;
• event benefits;
• educational materials;
• voting rights; and
• other benefits expressly communicated by the Association.

Benefits may be subject to:

• availability;
• capacity limits;
• advance registration;
• programme-specific conditions;
• blackout periods;
• eligibility requirements; and
• other reasonable operational restrictions.

11. Consultation Discounts

Where an eligible Membership category provides a Consultation discount, the discount applies only to eligible Services expressly designated by Logout Neuchâtel.

Unless otherwise specified:

• the discount applies to the applicable published price;
• the discount cannot be transferred to another person;
• the discount cannot be exchanged for cash;
• the discount cannot be combined with another promotional discount; and
• the discount does not apply retroactively to previously purchased Services.

Consultations remain governed by the Preventive Psychological Support Agreement.

Membership does not guarantee the availability of a Consultation appointment.

12. Event Benefits

Certain Membership categories may receive benefits relating to Logout Neuchâtel events.

For example, eligible Family Members may receive:

• one free Logout Festival Pass per Membership year; and
• a 50% discount on additional eligible passes.

Event benefits are subject to:

• available capacity;
• registration deadlines;
• event-specific terms;
• eligibility verification; and
• any restrictions communicated for the relevant event.

An event benefit does not guarantee admission where an event has reached capacity.

13. Organizational Partner Benefits

Organizational Partner Membership is intended to facilitate institutional engagement with Logout Neuchâtel.

Partner benefits may include:

• priority access to selected programmes;
• organizational pricing;
• team registration;
• administrative support;
• Partner recognition; and
• access to institutional resources.

Organizational Partner Membership does not authorize the organization to:

• represent Logout Neuchâtel;
• use its intellectual property without authorization;
• make commitments on behalf of the Association;
• claim endorsement by the Association; or
• provide Logout Neuchâtel Services independently.

Any professional programme, workshop, training, consultation, or other paid intervention commissioned by an Organizational Partner may require a separate agreement.

14. Payment Methods

Depending on the Membership category, Membership fees may be paid through:

• online payment;
• bank transfer;
• invoice; or
• another payment method made available by Logout Neuchâtel.

Organizational Partners may be invoiced where agreed.

The Member is responsible for providing accurate billing information.

15. Renewal

Membership may be renewed for successive Membership periods.

Unless automatic renewal is expressly offered and accepted, Membership does not automatically renew.

Where automatic renewal is introduced, the applicable renewal conditions, price, notice period, and cancellation mechanism will be communicated before or at the time of enrollment.

16. Cancellation by the Member

A Member may request cancellation of Membership in accordance with the applicable cancellation procedure.

Cancellation normally takes effect at the end of the current paid Membership period unless otherwise required by applicable law or agreed by the Association.

Cancellation does not automatically create a right to reimbursement of a Membership fee already paid.

Any statutory cancellation or refund rights remain unaffected.

17. Change of Membership Category

A Member may request to change Membership category.

For example, an Individual Member may request to change to Family Membership.

The change becomes effective when confirmed by Logout Neuchâtel.

Where the change affects the Membership fee, the Association may apply:

• a new fee from the next Membership period;
• a pro-rata adjustment where appropriate; or
• another arrangement communicated at the time of the change.

18. Family Membership

Family Membership is intended for individuals forming part of the same household.

The Member responsible for the Family Membership is responsible for providing accurate information concerning eligible household members.

Family Membership benefits may not be used by unrelated third parties.

The Association may request reasonable information to verify household eligibility.

Where a household's circumstances change, the Member should inform Logout Neuchâtel where the change affects eligibility.

19. Organizational Membership

An Organizational Partner is responsible for ensuring that persons using organizational Membership benefits are authorized representatives, employees, students, volunteers, or other eligible participants of the organization, as applicable.

Organizational benefits may not be resold or transferred to unrelated third parties.

The organization remains responsible for:

• the accuracy of organizational information;
• payment of applicable fees;
• authorized use of Membership benefits; and
• compliance with applicable programme terms.

20. Member Conduct

Members must not use Membership or Association resources to:

• engage in unlawful activity;
• harass or threaten others;
• impersonate the Association;
• misrepresent an affiliation with Logout Neuchâtel;
• misuse Member benefits;
• circumvent payment requirements;
• interfere with Association activities;
• misuse confidential information; or
• otherwise materially undermine the legitimate activities of the Association.

Additional conduct rules may apply to specific events, programmes, or digital Services.

21. Suspension or Termination

Logout Neuchâtel may suspend or terminate Membership where permitted by its statutes and applicable law.

Grounds may include:

• serious or repeated violation of these Membership Terms;
• serious misconduct;
• fraudulent or misleading information;
• misuse of Membership benefits;
• non-payment of applicable fees;
• unauthorized representation of the Association;
• conduct that materially harms the Association or other participants; or
• another legitimate ground provided by the statutes or applicable law.

Where required, the Member will be given an opportunity to respond before termination.

Statutory procedures concerning exclusion or loss of Membership rights remain applicable.

22. Consequences of Termination

When Membership ends:

• Membership-specific benefits cease;
• Member discounts cease;
• access to Member-only resources may cease;
• voting rights cease where applicable; and
• unused benefits generally expire.

Termination does not affect:

• payment obligations already incurred;
• confidentiality obligations;
• intellectual property rights;
• data protection obligations;
• rights relating to previous transactions; or
• other provisions intended to survive termination.

23. Membership and Professional Services

Membership and professional Services are separate contractual relationships.

Membership does not itself include:

• psychological treatment;
• psychotherapy;
• psychiatric care;
• medical care;
• emergency intervention;
• unlimited consultations; or
• guaranteed access to a professional.

Where a Member purchases a Consultation or another professional Service, the applicable Service-specific agreement also applies.

24. No Insurance Coverage

Membership is not a health insurance product.

The payment of a Membership fee does not constitute payment of medical insurance premiums and does not guarantee reimbursement of any Service by an insurer.

25. Personal Data

Personal Data relating to Membership is processed in accordance with the Logout Neuchâtel Privacy Policy.

Membership information may be processed for purposes including:

• membership administration;
• payment;
• voting and General Assembly administration;
• communication;
• event registration;
• provision of Member benefits;
• legal and accounting obligations; and
• Association governance.

Members should ensure that information provided to the Association remains reasonably accurate.

26. Communications

Members may receive administrative communications concerning:

• Membership status;
• payment;
• renewal;
• General Assembly matters;
• voting;
• events;
• programme registration;
• changes to Membership benefits; and
• other information necessary to administer the Membership.

Where permitted by applicable law, Members may also receive information about Logout Neuchâtel activities and programmes.

Members may unsubscribe from optional promotional communications without necessarily terminating their Membership.

27. Changes to Membership Benefits

Logout Neuchâtel may modify Membership benefits from time to time to reflect:

• changes in Services;
• organizational developments;
• availability;
• financial sustainability;
• legal requirements; or
• changes in operational capacity.

The Association will seek to avoid materially reducing benefits during an already-paid Membership period unless necessary for legal, safety, or other legitimate reasons.

Statutory Membership rights cannot be removed through these Membership Terms.

28. Changes to Membership Fees

Membership fees may be changed for future Membership periods.

Where a Member has already paid for a current Membership period, the new fee will generally apply only upon renewal or commencement of a subsequent Membership period.

Where automatic renewal applies, any change in the renewal fee will be communicated in accordance with applicable law.

29. Intellectual Property

Membership does not transfer ownership of any intellectual property belonging to Logout Neuchâtel.

Member access to:

• educational materials;
• research documents;
• digital resources;
• presentations;
• logos;
• graphics; or
• other Association materials does not grant a right to reproduce, distribute, commercially exploit, modify, or publicly republish such materials unless expressly authorized.

30. Confidentiality

Members may receive information concerning Association activities, Members, volunteers, programmes, or other participants.

Members must respect the confidentiality of information that is expressly identified as confidential or that reasonably should be understood to be confidential.

This obligation does not apply to information that:

• is publicly available;
• was lawfully known before disclosure;
• is independently obtained from a lawful source; or
• must be disclosed by law.

31. Liability

Membership benefits are provided subject to availability and the limitations established in the Terms of Service.

To the maximum extent permitted by applicable Swiss law, Logout Neuchâtel is not responsible for indirect or unforeseeable losses arising solely from the unavailability of a discretionary Membership benefit.

Nothing in these Membership Terms excludes or limits liability that cannot legally be excluded or limited.

32. Governing Law

These Membership Terms are governed by Swiss law, subject to mandatory provisions applicable to the Member.

The Association's statutes remain the primary governing document for matters relating to the legal organization and statutory rights of Members.

33. Dispute Resolution

Members are encouraged to contact Logout Neuchâtel first to attempt to resolve disputes concerning Membership.

Where a dispute cannot be resolved amicably, the dispute may be submitted to the competent courts in accordance with applicable Swiss procedural law and the jurisdiction provisions contained in the Terms of Service.

Mandatory jurisdiction rules remain unaffected.

34. Relationship with the Association's Statutes

These Membership Terms do not replace the Association's statutes.

The statutes govern matters including, where applicable:

• admission;
• Membership status;
• Member rights;
• voting;
• General Assembly procedures;
• exclusion;
• resignation;
• governance; and
• dissolution.

If a conflict arises between these Membership Terms and the statutes, the statutes prevail to the extent required by Swiss law.

35. Changes to these Membership Terms

Logout Neuchâtel may update these Membership Terms where necessary to reflect:

• changes in Membership structures;
• changes in Services;
• organizational developments;
• changes in applicable law; or
• operational requirements.

Material changes will be communicated through appropriate channels where required.

The version published on the Website is the current version.
